The Recipient acknowledges that there is no transfer or licence to it or any third party of any Intellectual Property Rights in and to, or arising from, any Confidential Information disclosed under or in connection with this Agreement.
ماهیت محرمانه، حساس و اختصاصی اطلاعات محرمانه را تصدیق کرده و موافقت می نمایید که محرمانه خواهند ماند، و به طور مستقیم یا غیرمستقیم اطلاعات محرمانه را به طور کامل یا جزئی در اختیار هیچ شخص ثالثی فاش نکنید، ارتباط برقرار نکنید یا به شکل دیگری افشا نکنید.
نباید از هیچ یک از اطلاعات محرمانه برای اهدافی غیر از هدف مجاز (که توسط آروین مشخص می گردند) استفاده کرد.
گیرنده اذعان می کند که هیچ گونه انتقال یا مجوزی (به او یا شخص ثالثی) از حقوق مالکیت معنوی در ارتباط و یا ناشی از هرگونه اطلاعات محرمانه افشا شده (به اشتراک گذاشته شده) تحت یا در ارتباط با این قرارداد وجود ندارد.
You irrevocably and unconditionally agree that:
(a) all work and material of any kind provided to you by Arvin and all intellectual property rights in it remain the sole property of Arvin, or any other third-party who holds intellectual property rights in that material;
(b) all work, designs, developments, inventions, computer programs, papers (published and unpublished), methodologies and documentation or things developed by you in the course of your contract (Developed Technology) immediately upon its creation, are the sole property of Arvin and to the extent this does not occur, you hereby irrevocably assign to Arvin (by way of present and future assignment) all of those rights without restriction;
(c) you may not, without the prior written permission of Arvin use any of Arvin’ material and work (including but not limited to Developed Technology)
موافقت می کنید که (بدون فسخ و بدون قید و شرط):
(الف) کلیه حقوق مالکیت معنوی موجود در تمام کارها و مطالبی (از هر نوعی) که توسط آروین در اختیار شما قرار می گیرد، تنها متعلق به آروین یا هر شخص ثالث دیگری است که دارای حقوق مالکیت معنوی در آن مطلب است.
(ب) کلیه کارها، طراحی ها، پیشرفت‌ها، اختراعات، برنامه‌های کامپیوتری، مقالات (منتشر شده و منتشر نشده)، روش‌شناسی و مستندات یا مواردی که توسط شما طی مدت قرارداد شما (Developed Technology) ایجاد شده است، بلافاصله پس از ایجاد صرفا دارایی آروین بوده و علاوه بر آن شما بدینوسیله به طور غیرقابل برگشت (از طریق واگذاری فعلی و آینده) همه این حقوق را بدون محدودیت به آروین واگذار می کنید.
(ج) بدون اجازه کتبی قبلی آروین نمی توانید از هیچ یک از مطالب و کارهای آروین (از جمله – اما نه محدود به – Developed Technology) استفاده کنید.
